Dr. Yasser Althnian

Founder & Managing Partner

Dr. Yasser Althnian is the founder and managing partner of Yasser Althnian Law Firm. He is a qualified Saudi lawyer with over 17 years of experience. He advises national businesses and multinational enterprises, international investors, the Saudi government, public institutions, and sovereign funds on M&A, joint ventures, major contentious projects, IPO, equity investment, banking & finance, FDI, PPP, and a full range of corporate and finance matters.

Dr. Yasser's background and experience include working at the Council of Economic & Development Affairs (CEDA), the United Nations Sixth Committee (Legal Affairs), the Saudi Public Prosecution, the Saudi Ministry of Justice, and preeminent international law firms. He also worked as a Professor of Commercial Law at Prince Sultan University, College of Law, where he taught corporate law, capital markets, banking & finance, and intellectual property courses. Dr. Yasser has been a member of various Legal Committees established by the General Secretariat for the Saudi Council of Ministers to study a range of legal and policy matters, focusing primarily on the Vision 2030 programs and initiatives.

The Saudi Ministry of Finance

​Advised the Saudi Ministry of Finance on the new Government Tender and Procurement Law and its Implementing Regulations; structurally reviewed and substantially redrafted the Preferential Regulations for the Local Content, SMEs, and Listed Companies; and drafted the Conflict of Interests and Code of Conduct Regulations, all enacted by the Council of Ministers.

 

The Saudi Ministry of Finance & the Strategic Procurement Unit

Advised the Saudi Ministry of Finance and the Strategic Procurement Unit on the contractual framework and unified contracts for public procurement of all government entities under the new Government Tender and Procurement Law.

 

The Saudi Public Investment Fund (PIF)

Advised the PIF on the legal structuring and establishment of the Amaala project, a luxury tourist destination on the Red Sea coast, and advised on the incorporation of the Amaala Company (SAR 2.10bn in capital) the first PIF subsidiary to be established under the new PIF law and the first to obtain an exemption from the Saudi Companies Law.

 

INEOS

​Advised INEOS on its joint venture with Saudi Aramco and Total to build a USD 5bn petrochemical complex (Project Amiral) in Saudi Arabia, the new-state of-the-art plants that will supply more than USD 4bn of downstream derivatives and speciality chemical units, and the first of its kind in the Middle East and INEOS’ first ever plants investment in the region.

 

Apple Inc.

Advised Apple Inc. on its premium resellers in relation to international business transactions and corporate matters, including the Saudi Competition Law, Commercial Agency Law, and Franchise Law

Saudi Arabian Fertilizer Company (SAFCO)

Advised SAFCO (currently SABIC Agri-Nutrients Company) on its full acquisition of SABIC’s stakes in five agri-nutrients companies, Al-Jubail Fertilizer Company (Al-Bayroni), National Fertilizer Company (Ibn al-Baytar), Gulf Petrochemicals Industries Company, Ma’aden Phosphate Company, and Ma’aden Wa’ad al Shamal  Phosphate Company.

The Saudi Investment Recycling Company

Advised the PIF-owned subsidiary, the Saudi Investment Recycling Company, on the SAR 1.928bn full acquisition of Global Environmental Management Services Company.

The Central Arriyadh Development Company

Advised the PIF-owned subsidiary, the Central Arriyadh Development Company, on the regeneration of the center of Riyadh, and the land's expropriation and obtaining finance from banks and financial institutions.

The Saudi British Bank

Advised the Saudi British Bank on the SAR 1.090bn Multi-currency Term and Revolving Facilities for National Container Terminals Co. Ltd.

The Export-Import Bank of China

Advised the Export-Import Bank of China as a lender on the security and pledged-assets mortgage for the Sinosure-backed facility extended to the Airport City Real Estate Company for the construction of a shopping mall at King Abdulaziz International Airport City that included a Saudi sponsor.

Marriott International

Advised Marriott International on corporate matters and on the new regulations relating to the localization of the tourism and hospitality sector in Saudi Arabia.

BECTON, DICKINSON B.V.

Advised BECTON, DICKINSON B.V. on its USD 24m purchase of the business assets of Al-Haya Medical Company.

 

Tiffany & Co.

Advised Tiffany & Co. on establishing its joint venture with TCO (NL) LOGISTICS B.V. in Saudi Arabia.

 

The Royal Commission for Mecca and the Holy Sites

Advised the Royal Commission for Mecca and the Holy Sites on its establishing regulations and a range of corporate and policies matters.

Arkad Engineering & Construction Company & Arkad-ABB

Advised Arkad Engineering & Construction Company and Arkad-ABB joint venture on the successful bid for the expansion of the gas transmission infrastructure of Bulgartransgaz EAD parallel to the north (main) gas pipeline to the Bulgarian-Serbian border.
